Shelby and SAAC at Odds

    Dave, As an aside, unless you have seen the contract, I don't think your comment is valid. Carroll will be making a statement and Licensing will be posting the letters and agreement. It's a shame this has to happen, but with SAAC posting everything online, Licensing will now do the same. The license clearly requires financials of the business regardless of any royalty being due and copies of all records. This agreement is signed by both Ken And Rick

    When all the info is out there from both sides it will be easier for everyone to make a decision, regardless of which side is chosen, at least the "what if", "the fear" and "mis information" will be abated.

    Hi Amy, Im curious. Will this site also be the subject of a licensing agreement, because of the forums title?

    the licensing agreement can not be made public by Shelby, but the letters that will be published have pieces of that agreement.

    For some reason I thought we could all live as 1 big happy Shelby family but that doesn't seen to be the case anymore & I'm not sure if this will ever get patched up to everyones liking. All I know is which side I'm on (Hint, Hint)

    Amy - Sorry your days are spent correcting all the Accusations & Insinuations on all these forum boards.

    The license agreement was for one dollar. I guess you want more. What is the price to have everyone be one happy family again?

    Dave, "I" don't want anything and neither does Carroll, except what's due him, it's not about the $$$ . Although maybe paying the "dollar" might be a good start, since that never happened either. Also you keep making it about $$$, why not just return all his stuff, Maybe someone should have returned a call, responded to an email or letter, maybe if you all made an attempt to do something other then posting publically, you might "save" whats so important to you instead of just posting about it. I for one am done posting here on this topic. Carroll will respond publically as he is forced to do and all will be able to see the info as well. Then we move on.

    FE MAN is on the right track The FORD # of my Shelby's is owned by ME period !!!!! I own the cars I have the paperwork Title that says that car and #"s are mine. Every Shelby owner that legally owns there cars owns there #'s We as a group allow SAAC to be the keepers of those #'s because of the responsability they have shown in the keeping of those #'s. This has never been an issue before now!!!!! I for one can see many personal or a collective law suit against whoever gets there hands on these documents and there is public access by mistake or on purpose and we as owners would have the legal right to go after that person or persons. Those #'s are personal information that I do not choose to share with just anyone. Why Shelby and his company would want the responsibility and the legal ramification if something goes wrong is plain stupid!!!!!! How many people would have accsess to those #'s ????? everyone in the company with a computor????? One disgruntled employee and there goes those #'s they could post them anywhere !!! I like the fact that they are at SAAC and only a few people could ever have accsess. The same core group that has proven they are the right people to keep those #'s hidden away.
    If Shelby gets the paperwork and by some chance goes out of business. Yes he may be making money today but the fire storm this issue with SAAC is going to cause will have a bigger effect on his business than he ever imagined in a year or two down line or he gets shut down for one reason or another who gets the paperwork then ????? Now I have to worry about a third party with those #'s can you say MENTAL ANGUISH $$$$$$$$$$$$$$$$$$$$$$$$$$$$$:mad: :grrr:

    Just courious.........When SAAC found out that the Licensing will not be renewed...... have they started to make copies of all the documents that they need. After all, they had them for quit a few years.

    What even makes you think that Shelby would want to make all this information public? Maybe the people at SAAC should have informed everybody that they may have to give all this information back to Shelby someday before we all sent in our precious VIN #'s? How do we know some disgruntled SAAC employee isn't posting all these numbers publically somewhere right now like one poster insunuated a disgruntled Shelby Automotive employee might do in the future? I think alot of this is being blown way out of proportion. Hopefully this all gets resolved and SAAC can continue to operate as they have for the last 30-plus years and their relationship with Shelby can be patched up. I have nothing against SAAC, I think they have done a great job all these years, but something must have happened for this to have taken the ugly turn that it has.

    The core issue is who ends up with control of the early VIN data, which can effect the values of all 65, 66, 67 Shelbys. SAAC has warts and the leadership are no angels, but they have done more good than bad and have proven themselves reliable for 3 decades.

    On the other hand we could see the records thrown into an atmosphere like this:


    "On December 30, 2003, the U.S. Bankruptcy Court for the Eastern District of Michigan Southern Division approved the purchase and sale of assets by Shelby Automobiles, Inc. (“Autos”), a wholly-owned subsidiary of Carroll Shelby International, Inc. (“CSI”), from Venture Molds and Engineering Corporation (“Venture”). The Court had approved Venture’s foreclosure under its security interest in all personal property owned by Shelby American, Inc. (“SAI”). The purchase price of $1,200,000 is evidenced by a promissory note secured by the assets sold. Payment will be made in 40 monthly installments funded by CSI working capital and shareholder loans. The assets were sold free and clear of any other liens, claims, and encumbrances.

    The acquired assets include leasehold improvements, equipment and furniture primarily used in the manufacture of Shelby Series I automobiles, several autos in various stages of completion and parts used in manufacture.

    Carroll Shelby, director and principal shareholder of Carroll Shelby International, Inc., is a 25% shareholder in SAI.

    CSI plans to analyze the assets acquired to determine whether the highest value can be obtained by piecemeal sale, bulk liquidation or use in the production of autos."

    "On January 21, 2004, Carroll Shelby, Shelby Automobiles, Inc., and Carroll Shelby International, Inc. ("Shelby entities") were named as defendants in a lawsuit filed in U.S. Bankruptcy Court by Venture Mold & Engineering Corporation and its parent corporation as debtor seeking recovery of damages and/or certain vehicle parts and tooling utilized in the manufacture of “Cobra” series component vehicles during calendar year 2003. Carroll Shelby and Shelby Automobiles, Inc. had utilized the tooling and some parts to complete certain customer orders placed with Shelby American, Inc. before American ceased doing business in July 2003. Some of these parts sought in recovery were included in the December 30, 2003 assets purchased with approval of the bankruptcy court. An answer and counterclaim for damages based on breach of contract, breach of fiduciary duty and tortious interference were filed with the Court by the Shelby entities on March 15, 2004.

    In the opinion of management, the ultimate disposition of the suit above and related Company counterclaims will not have a material adverse effect on the Company’s consolidated financial position, liquidity or results of operations."



    That is just a brief snapshot sometime back. These records could end up in a similar environment. Makes SAAC look like Mayberry.

    Question to Team Shelby or Shelby Automobiles Inc.

    What will be the fee to check the validity of a vintage Shelby American product under the new Team Shelby formula? What would the turn around time be?

    Owen - they HAD the Ford to Shelby VIN already, we only confirm the correlation when we check with them.

    SAAC has been and continues to be the keeper of the flame.

    Well said computerworks.
    However, with the tone of the press releases by saac telling people to donate to the legal fund and what not, it doesnt sound as if they are keen on people taking a neutral position either.
    Nobody should have to choose sides over this.
    Furthermore, i think that eventually, this whole thing will be workd out one way or the other. It may be too late for a complete reconciliation but i just feel like both sides will come to terms with one another. What i dont understand is why so many people feel that only one club should exist. I think it might even work out for the best, not if but when both clubs survive and prosper. SAAC will survive even though they arent the 'OFFICIAL' club.
    Also, i think team shelby will turn out great. After personally exchanging emails with Amy and talking to many other people who are closer to the situation than i am, i think they (team shelby) have got things together just fine.
    I am not taking sides, i feel that things will just work themselves out.

    These kids questioning our patronage to Carroll Shelby is rediculous. I haven't been chasing him all over this great country for 30 years because I hate him. This guy has been a hero to me for longer than some of these kiddies have been alive. Us old farts and our old cars don't want division in our hobby. Nobody that I know wanted this crap to happen. Remember - money is the root of all evil because the Bible tells me so. :)

    The reason why we know they are not posting the #s is the registrar for each of the years is also an owner or owner of multiple cars that they keep track of. They are also long time members who love thier year cars and what they do. There is your built-in saftey. Each one would have a lot to loose like the rest of us!!!!!!
    As I said before who at team Shelby would keep the #s. Would they also be owners?????? With a passion for the cars??? Or would they be just a run-of-the-mill employee with nothing to lose??
    I have nothing against another club. The more clubs, the more events we get to enjoy with our toys. I think that only one club should handle the original car #s.

    The love of money...

    But your on the right track. Corporate efforts are always scored by money and the return there of. There will be "disappointed results" sooner or later for the club performance as measured by $$ and reported to share holders. It takes enthusiast to make a club survive because they also use the "fun meter" as a guage of success.
